These Terms of Service ("Terms") are a binding legal agreement between you ("you," "Client," "User") and BNBA Consulting LLC, a Texas limited liability company doing business as BNB Authority ("BNB Authority," "we," "us"), governing your access to and use of bnbauthority.com, the BNB Pulse browser extension and software, our coaching programs, community, calls, scripts, templates, content, and any related services (collectively, the "Services"). By accessing the Services, booking a call, or purchasing a program, you agree to these Terms, our Privacy Policy, Earnings Disclaimer, and Refund Policy, all incorporated by reference. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old, able to form a binding contract, and not barred from receiving the Services under applicable law. The Services are intended for residents of the United States.
2. What We Sell — and What We Do Not
We sell education, coaching, software (BNB Pulse), community access, and optional introductions to independent service providers. We do NOT sell:
- A "business opportunity" as defined under the Business Opportunity Rule (16 CFR Part 437);
- A franchise under the Franchise Rule (16 CFR Part 436);
- An investment, investment contract, or security;
- A multi-level marketing or network-marketing program;
- A turnkey, "done-for-you," or guaranteed-income product;
- Real estate, real-estate brokerage services, property management, tax advice, legal advice, accounting advice, or insurance.
You are buying training and tools to build your own independent short-term-rental business. You alone are responsible for compliance with all applicable laws, contracts, platform rules (including Airbnb and Vrbo), local short-term-rental ordinances, HOA rules, zoning, taxes, insurance, and licensing in your jurisdiction.
3. License to the Services
Subject to your full payment and ongoing compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access the Services and BNB Pulse for your personal business use. You may not resell, white-label, share login credentials, sublicense, copy, reverse-engineer, scrape, or repurpose any portion of the Services, our content, scripts, templates, recordings, or software.
4. BNB Pulse Software
Enrollment in the program includes complimentary access to the BNB Pulse Chrome extension and dashboard for the first six (6) months. After the included period, continued access is billed separately on a usage-based plan (priced by listings analyzed, PDFs generated, and seats). Current rates are disclosed in-app and in your account dashboard before any charge. You can cancel BNB Pulse at any time after the included period; cancellation does not refund the program fee. BNB Pulse is provided "AS IS"; market data is sourced from public listings and third parties and may be incomplete or inaccurate.
5. Payment, Renewals, and Taxes
All fees are stated in US dollars and processed by Stripe. By providing a payment method you authorize us (and Stripe) to charge it for fees you incur, including any payment plan installments and recurring BNB Pulse usage. Failed payments may suspend your access. You are responsible for all applicable sales, use, or other taxes.
6. Refunds
Refunds are governed by our Refund Policy, which is part of these Terms. There is no general money-back guarantee; refunds are conditional and action-based as described in that policy.
7. Testimonials, Reviews & Earnings
Any income examples, case studies, screenshots, testimonials, Trustpilot reviews, or revenue numbers we publish reflect the personal experience of specific individuals and are not typical. Most people who purchase any "make money" type program get little or no result. See our Earnings Disclaimer for the full Testimonial Disclosure (16 CFR Part 255).
8. Your Conduct & Content
You agree not to: (a) violate any law, third-party right, or platform policy; (b) record, screenshot, redistribute, or post coaching calls or member content outside the community; (c) harass, threaten, or harm other members or our staff; (d) misrepresent yourself; (e) use the Services to spam landlords or violate CAN-SPAM/TCPA; (f) attempt to access another user's account. We may suspend or terminate access for any violation without refund.
You retain ownership of content you submit (deals, posts, questions), but grant us a worldwide, royalty-free license to use, reproduce, and display it to operate, promote, and improve the Services — including anonymized case studies.
9. Third-Party Services
The Services integrate or reference third parties (Airbnb®, Vrbo®, Zillow®, Stripe, Calendly, Trustpilot®, Google, Meta, TikTok, independent co-hosts, and others). We are not affiliated with, endorsed by, sponsored by, or operated by any of these companies. We are not responsible for their acts, omissions, terms, pricing, or availability, and any introduction we make to an independent co-host or service provider is for convenience only — your agreement with them is solely between you and them.
10. Disclaimer of Warranties
THE SERVICES, BNB PULSE, ALL CONTENT, AND ALL THIRD-PARTY INTRODUCTIONS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR THAT YOU WILL EARN ANY AMOUNT OR CLOSE ANY DEAL. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY (AND, AS TO US, OUR OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, COACHES, OR AGENTS) WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES IS LIMITED TO THE AMOUNTS YOU ACTUALLY PAID TO US IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PARTS OF THIS MAY NOT APPLY TO YOU.
12. Indemnification
You agree to indemnify, defend, and hold harmless BNBA Consulting LLC, its affiliates, members, officers, employees, coaches, and contractors from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your short-term-rental business, deals, landlord agreements, guests, or properties; (c) your violation of these Terms, applicable law, or any third party's rights; (d) any content you submit.
13. Governing Law & Venue
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Subject to Section 14, the exclusive venue for any dispute not subject to arbitration is the state and federal courts located in Texas, and you consent to personal jurisdiction there.
14. Binding Arbitration & Class Waiver
Please read this section carefully — it affects your legal rights. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services (including their formation, interpretation, breach, or termination) shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, in Texas (or by video, at the arbitrator's discretion). The arbitrator's decision is final and may be entered in any court of competent jurisdiction.
Class Action Waiver. You and we agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
30-Day Opt-Out. You may opt out of this arbitration agreement by emailing contact@bnbauthority.com with the subject "Arbitration Opt-Out" within 30 days of first accepting these Terms; include your full name and the email on your account.
15. Termination
We may suspend or terminate your access at any time for breach of these Terms, suspected fraud, chargeback abuse, or harm to other members or staff, without refund. Sections that by their nature should survive (IP, disclaimers, liability limits, indemnity, arbitration, governing law) will survive termination.
16. Changes
We may update these Terms from time to time. Material changes will be posted here with a new "Last updated" date. Continued use after changes constitutes acceptance.
17. Entire Agreement; Severability
These Terms, together with the policies referenced above and any order form or program agreement you sign, are the entire agreement between you and us regarding the Services. If any provision is held unenforceable, the remainder will remain in full force.
